Black Soul Summer – Marketplace Seller Terms of Service

Welcome to Black Soul Summer, a ticketing and event management platform owned and operated by Sync Production Group (“Company,” “we,” “us,” or “our”).
These Marketplace Seller Terms of Service (“Terms”) govern your access to and use of the Black Soul Summer platform as an event organizer, promoter, or creator (“Seller,” “Organizer,” “you,” or “your”). By creating an organizer account, listing an event, or selling tickets through Black Soul Summer, you agree to be bound by these Terms.
1. Our Relationship: Platform and TPSO
Black Soul Summer acts solely as a technology provider, marketplace facilitator, and Third-Party Settlement Organization (TPSO). We provide the software platform that allows you to market events and sell tickets to your attendees (“Buyers”).
- You are the Seller of Record: You are entirely responsible for the creation, production, safety, and delivery of your event.
- Independent Entities: Nothing in these Terms creates a partnership, joint venture, employment, or independent contractor relationship between you and Sync Production Group. You are an independent platform user selling to your own customers.
2. Taxes and Marketplace Facilitator Laws
To protect our Organizers and comply with state laws, Black Soul Summer operates as a legally defined “Marketplace Facilitator” for sales tax purposes.
- Sales Tax Collection: Where legally required by state and local jurisdictions, Black Soul Summer will automatically calculate, collect, and remit sales tax on the sale of your tickets directly to the appropriate government authorities.
- Tax-Exclusive Pricing: Sales tax will be added to the Buyer’s total at checkout and will not be deducted from your base ticket price.
- No Organizer Liability for Remittance: Because we handle the collection and remittance of these specific state sales taxes, you are relieved of the burden of filing sales tax returns for the tickets sold through our platform in those jurisdictions.
3. Income Tax Reporting and Form 1099-K
Because Black Soul Summer processes payments on your behalf, we are required by the Internal Revenue Service (IRS) to report gross transaction volumes.
- W-9 Requirement: Before receiving any payouts from ticket sales, you must provide a valid, accurate IRS Form W-9 (or equivalent documentation) through our secure onboarding portal.
- Form 1099-K Issuance: In accordance with federal and state law, if your gross ticket sales and transaction volumes exceed the applicable IRS or state-level reporting thresholds during a calendar year, Black Soul Summer will issue an IRS Form 1099-K (Payment Card and Third-Party Network Transactions) to you and the IRS.
- Your Responsibility: Form 1099-K reports gross sales, not net profit. You remain solely responsible for reporting your income, deducting your applicable event expenses, and paying any federal, state, or local income taxes owed on your earnings.

- Fee Application: Our pricing structure is designed to protect your event margins. The applicable processing fee is automatically calculated and passed directly to the Buyer at checkout. This ensures that you, the Organizer, retain 100% of your designated net ticket revenue from every completed order.
- Platform Processing Fees: Black Soul Summer charges a flat-rate processing fee on each ticket sold (Standard Rate: 12.5%; Authorized Non-Profit Rate: 6%). This all-inclusive fee covers both third-party credit card processing costs and access to the Black Soul Summer software platform.
5. Refunds, Cancellations, and Chargebacks
As the Seller of Record, you are responsible for setting and communicating your own refund policy to your Buyers.
- Canceled Events: If an event is canceled or significantly postponed, you are strictly required to issue full refunds to all Buyers. Black Soul Summer reserves the right to automatically initiate refunds to Buyers from your pending payouts or demand repayment if an event is canceled.
- Chargebacks: You assume full liability for all credit card chargebacks and disputes initiated by your Buyers. Black Soul Summer reserves the right to withhold funds or deduct chargeback amounts and associated bank fees from your account balance.
6. Content and Conduct
You agree to use Black Soul Summer strictly for lawful purposes. You may not use the platform to sell tickets to illegal events, promote hate speech, or violate the intellectual property rights of others. We reserve the right to suspend or terminate any Organizer account and cancel pending events at our sole discretion if these terms are violated.
