Clear Signature

This Booking Agreement (“Agreement”) between Sync Production Group, the parent company of Black Soul Summer (hereafter referred to as “Hirer”) and the hired performer(s) (hereafter referred to as “Artist”) for performance at event (hereafter referred to as “Event”).

CONFIRMATION OF PERFORMANCE: This signed agreement will act as confirmation of artist booking. Upon completion, The Hirer will send a confirmation of the executed agreement via email. 

PAYMENT: Unless agreed otherwise, balance will be paid within one (1) to three (3) business days following the completion of the Event. Payments will be made electronically via Zelle, PayPal, CashApp, Venmo or ACH Payment using the information provided below. 

DEPOSITS: If previously agreed upon, Hirer will send up to a 50% deposit to the Artist within one (1) week following the execution of this agreement. 

STAGING: The Hirer will provide safe working conditions and ensure all equipment and facilities are in good working order for the Event. The Hirer will be in compliance with all statutory requirements and will obtain all permits, consents and licenses necessary for the performance. 

EQUIPMENT: Hirer will supply a state of the art sound system for the entirety of the Event. Unless agreed otherwise, Artist will have the ability to provide their own sound equipment for their performance. 

MERCHANDISE: Artist will have the right to display and sell merchandise during the Event and from a mutually agreed position without any payment to the Hirer. 

DIGITAL PROMOTION ASSETS: Artist agrees to provide Hirer with the following information to be used for promotional use for the Event:

  • Minimum One (1) High-Resolution Photo
  • Preferred Name & Correct Spelling of Stage Name 
  • Social Media Handles: Instagram, Tik Tok, Facebook, Youtube, etc.

Artist can submit these assets when completing this booking agreement or send directly via email to info@syncproductiongroup.com. The Hirer agrees to provide the Artist with all promotional assets at least one (1) week prior to the Event date. 

SOCIAL MEDIA PROMOTION: Artist agrees to promote the Event via social media platforms such as Instagram, Tik Tok, Facebook, YouTube, etc. This promotion is crucial to ensure the Artist provides their audience with adequate time to purchase tickets and share the Event. 

Artist agrees to following minimum posting requirements:

  • One (1) In-Feed Post featuring the Event Flyer (Instagram)
    • Collaboration posts do not count as an in-feed post required by Artist
    • Accepting Collaboration Posts Sent by @blacksoulsummer for additional support 
  • Minimum of Two (2) Story Posts featuring the Event Flyer and/or promotion of the Event (Instagram)
    • Reposting content the Artist is tagged in does count toward one (1) story post
  • Tag @blacksoulsummer in any created Reels, Posts, Stories, Lives promoting the Event (Instagram)
  • One (1) In-Feed Post featuring the Event Flyer (Facebook;N/A if Artist doesn’t have a profile)
  • One (1) Video Post featuring the Event (Tik Tok; N/A if Artist doesn’t have a profile)
  • One (1) Video Post featuring the Event (Youtube; N/A if Artist doesn’t have a profile)

Minimum posting requirements must be completed at least two (2) days or 48 hours prior to the Event Date. 

FAILURE TO PROMOTE: In the event that the minimum posting requirements are not met, Hirer reserves the right to adjust payment and/or cancel performance. 

GUEST LIST: Artist is permitted to bring up to two (2) guests at no additional charge to attend the Event. Guest List does not include stage access for the Artist performance. Additional guest list spots must be approved by Hirer and subject to availability. 

MEDIA RELEASE: Artist understands that Hirer may have multiple photographers and videographers on site to capture the event. Artist understands this and waives any licensing to recap footage from the event. Artist may bring their own media team to capture the event with prior approval. Artist has the right to record their performance using any digital device with prior approval and should be coordinated with production team. 

INSURANCE: Hirer shall maintain, at its own expense, commercial general liability insurance with limits of not less than $1,000,000 per occurrence / $2,000,000 aggregate. Upon request, Artist may be listed as an additional insured for the Event Date if required by the Venue. Hirer will provide Artist with a copy of the Certificate of Insurance (COI) if they are listed in the COI submitted to the Venue.

CANCELLATION POLICY: In the event Hirer is forced to cancel the event due to circumstances out of their control (weather conditions, health or safety concerns in accordance with local regulations, or force majeure, Hirer will not be liable for any due balance. Artist must provide the Hirer at least three (3) days notice if they do not plan on performing. In the event that the Hirer chooses to reschedule the event date, they will provide the Artist at least two (2) days notice prior to the Event date. If weather conditions are bad or “by an act of god” causes the event to be cancelled, the Hirer is not responsible for the payment amount. 

PROPERTY DAMAGE, THEFT, LOSS, ETC:  The Hirer nor its agents, employees, subcontractors, principals, owners, or members shall be liable for any damage to property of Artist or Artist’s guests, employees, workers, principals, or agents, by theft or otherwise, nor for the loss of or damage to property delivered at the premises of venue, unless caused by or due to the negligent or reckless or intentional acts of the Hirer, its agents or employees.

DELAY, INTERRUPTIONS & FINISH: Artist agrees to arrive at the venue at least thirty (30) minutes prior to set time. If a performance is delayed, interrupted or finishes early as a consequence of any act or omission of the Hirer or due to weather conditions, then the Hirer will still pay the full Final Total. The Artist is not obliged to continue past set finishing time unless they agree. 

INDEMNITY: Both Hirer and Artists agree to indemnify each other against all claims, including costs legal and otherwise, by the Hirer and the Hirer’s employees, agents, contractors, patrons, licensees or any other who as a result of the performance/s or cancellation of performance/s suffers any loss or damage of whatsoever nature. 

FORCE MAJEURE CLAUSE: The Hirer is not responsible for any delay or failure in performance of any part to the extent that such delay or failure is caused by acts of God or other causes beyond our control. Notwithstanding anything to the contrary herein, (i) this contract will terminate without liability to either party if substantial performance of either party’s obligations is prevented by an unforeseeable cause beyond that party’s control (such causes include, but are not limited to acts of God, war, government actions, rulings or regulations, man-made or natural disaster, strikes, civil disorders, curtailment of transportation facilities or other emergencies making it inadvisable, illegal or impossible to provide the facilities or hold the event) and (ii) Hirer shall have the right to terminate this contract and receive a return of all deposits and fees paid (including but not limited to those denominated as “nonrefundable”) if Hirer determines, in Hirer’s sole opinion and discretion, that it is unlawful, inadvisable or otherwise not desirable to proceed with the event as a result of any conditions arising from or relating in any way to any pandemic (such as but not limited to COVID 19 or any variants or strains thereof), health crisis, emergency, shut down or similar circumstances, which may include but are not limited to restrictions, government actions, rulings, guidance, directives, recommendations or orders relating to any of the foregoing.  Without limitation, it is specifically agreed that Hirer shall have the right to terminate this contract if due to any of the foregoing or any similar matters or circumstances, Hirer determines in Hirer’s sole opinion and discretion that the event will not be able to be held as Hirer intends or expects, which may include but not limited to restrictions or limitations (whether mandatory or advisable) on capacity, hours, or similar matters.  If the contract is terminated as set forth above, Hirer shall be entitled to the return of all deposits and fees paid (including those denominated as “nonrefundable”).

The parties acknowledge that they have read the above contract and agree to the terms and conditions as well as any terms and conditions on any contract addendum that is also signed by both of the parties.  Each of the undersigned represents that they are authorized to sign on behalf of the respective party.
